Terms of Service

These Terms govern the ordering and provision of services by F-47. The specific scope of work, timelines, fees, and format of deliverables are defined in a contract, commercial proposal, statement of work, invoice, or another document agreed upon by the parties.

1. Service Provider Information

Hereinafter referred to as “F-47” or the “Service Provider.”

2. Status of These Terms and Order Confirmation

Information about services and prices published on the website is provided for general informational purposes and does not constitute an unconditional public offer unless expressly stated otherwise.

An order is considered confirmed after:

  • a contract or statement of work has been signed;
  • written confirmation has been provided by email or through an agreed messaging platform;
  • an invoice has been paid, where payment is specified as acceptance of the offer;
  • another action expressly agreed upon by the parties has been completed.

In the event of any conflict between these Terms and a separate contract, the separate contract shall prevail.

3. F-47 Services

F-47 may provide the following services:

  • GEO/AEO promotion and AI SEO;
  • brand visibility audits across ChatGPT, Perplexity, Gemini, Claude, and Google AI;
  • technical SEO and GEO/AEO website audits;
  • competitor, citation, and external mention analysis;
  • optimization of website structure, content, metadata, and structured data;
  • content creation and digital PR;
  • marketing consulting;
  • AI agent development and process automation;
  • website development, modernization, and maintenance;
  • analytics, CRM, and integration setup.

The exact scope of services is defined in the relevant Order.

4. Provision of Services

F-47 begins work after the Order has been agreed upon and the required information, materials, access credentials, and payment have been provided, where payment is required under the agreed terms.

Services may be provided as a standalone project, audit, consultation, monthly engagement, or phased assignment.

F-47 may engage specialists and subcontractors while remaining responsible for organizing the agreed work.

5. Client Responsibilities

The Client agrees to:

  • provide accurate and up-to-date information;
  • provide all required materials, access credentials, and approvals on time;
  • hold the necessary rights to all submitted texts, images, databases, and other materials;
  • pay for the services within the agreed time frame;
  • provide consolidated feedback;
  • refrain from requesting unlawful or misleading methods;
  • refrain from providing passwords, payment information, medical information, or other sensitive data without prior agreement.

Any delay in providing information, payment, access, or approval automatically extends the delivery timeline by at least the duration of that delay.

6. Fees, Payment, and Additional Expenses

The fees and payment terms are specified in the contract, commercial proposal, Order, or invoice.

Unless otherwise agreed, the service fees do not include:

  • advertising budgets;
  • paid publications and placements;
  • domain names, hosting, servers, and licenses;
  • paid third-party services;
  • API usage and AI model costs;
  • services provided by external contractors;
  • bank fees.

Such expenses are paid separately by the Client following prior approval.

In the event of late payment, F-47 may suspend the services until the outstanding amount has been paid.

7. Acceptance of Deliverables and Revisions

Deliverables may be provided by email, through cloud storage, on a website, through a code repository, or via another agreed channel.

Unless another period has been agreed upon, the Client must submit any material objections within five business days.

The number of revision rounds is defined in the Order. New pages, features, language versions, changes to an approved concept, or work outside the agreed scope are charged separately.

8. Specific Conditions for GEO/AEO, SEO, and AI Services

F-47 does not control the algorithms or decisions of search engines, AI platforms, social networks, or other third-party services.

Therefore, F-47 does not guarantee:

  • specific positions in search results;
  • the inclusion of a brand in a particular AI-generated answer;
  • a fixed number of brand mentions;
  • a specific volume of traffic, leads, sales, or revenue;
  • the continued preservation of results following algorithm updates.

Audits and reports reflect the state of the relevant platforms at the time of analysis. AI-generated answers may vary even when the same query is used.

9. AI Tools and Third-Party Services

To perform the agreed work, F-47 may use ChatGPT, Claude, Gemini, analytics platforms, CRM systems, cloud services, APIs, and other third-party tools.

AI systems may produce inaccurate or incomplete results. Materials involving legal, financial, medical, employment-related, or other high-risk matters must be reviewed by a qualified specialist before use.

F-47 is not responsible for outages, changes to pricing, features, policies, or the discontinuation of third-party platforms.

10. Intellectual Property and Confidentiality

Rights to materials provided by the Client remain with the Client or the relevant rights holder.

The transfer of intellectual property rights to deliverables is governed by the relevant contract or Order. Until full payment has been received, deliverables may be used only for review and approval.

F-47 retains all rights to its own methodologies, templates, frameworks, libraries, algorithms, internal tools, and know-how.

The parties agree not to disclose confidential information obtained during the engagement without a lawful basis or the other party’s consent.

11. Liability and Termination

F-47 is responsible for providing the agreed services professionally but does not guarantee any specific commercial outcome.

F-47 is not liable for consequences resulting from:

  • inaccurate or incomplete information provided by the Client;
  • delayed or incomplete implementation of recommendations;
  • actions taken by the Client or third parties;
  • violations of third-party platform rules;
  • use of the deliverables outside their agreed purpose.

Either party may terminate the engagement in accordance with the terms of the relevant Order. The Client must pay for all work completed, approved expenses, and non-refundable third-party costs.

Any unused portion of a prepayment will be refunded after deducting the value of completed work and approved expenses.

12. Governing Law, Disputes, and Contact Details

These Terms are governed by the laws of Ukraine. Any consumer rights that cannot legally be restricted by contract remain fully applicable.

The parties will seek to resolve disputes through negotiation. Where no agreement can be reached, the dispute shall be submitted to a competent court in accordance with Ukrainian law.

F-47 may update these Terms periodically. A new version takes effect upon publication on the website and does not amend previously agreed Orders unless the parties expressly agree otherwise.
